Alstom confirms rail merger talks with Siemens

 

 

French multi-national company Alstom has confirmed that discussions have taken place with Siemens over a potential merging of their rail businesses.

 

The statement was released following reports circulated in the media that Siemens had been talking to both Alstom and Canadian train company Bombardier.

Siemens and Alstom Will Merge Rail Operations Into Global Giant

 

 

 

The German industrial giant Siemens plans to merge its rail business with the French train equipment maker Alstom, the companies said Tuesday, creating a behemoth that can compete with the Chinese-state backed China Railway Rolling Stock Corporation.

 

The combined company, Siemens Alstom, would make systems and equipment for two of Europe’s high-speed rail lines, Germany’s ICE and France’s TGV, which can zip between cities at about 185 m.p.h.

 

“We are creating a new European champion in the rail industry for the long term,” said Joe Kaeser, the chief executive of Siemens. “This will give our customers around the world a more innovative and more competitive portfolio.”

The European deal — a combination of the once-bitter rivals — seeks to compete with that, and has the support of the Alstom board and the French government, according to a joint statement from the companies.

Siemens AG and Alstom SA agreed to merge their rail businesses in a deal that brings together former arch-rivals from Germany and France to create a European transportation giant aimed at countering competition from China.

 

Siemens will transfer its business making train and transit cars and signaling equipment to Alstom in exchange for stake of just above 50 percent in the enlarged company, according to a statement. The renamed Siemens Alstom, with sales of about 15.3 billion euros ($18 billion), will remain based in the Paris area. Alstom Chief Executive Officer Henri Poupart-Lafarge will keep his position and the chairman will be named by Siemens.

 

“We need to strengthen our ability to compete,” Siemens CEO Joe Kaeser said in a video about the tie up, which the companies call a merger of equals. “A dominant player in Asia has changed global market dynamics.”

  • European rivals unite as CRRC threatens to corner train market
  • Past tensions culminated in public spat over Eurostar contract

 

Alstom SA’s merger with the train-making arm of Siemens AG will mark the end of a bitter rivalry as the European rail industry’s biggest adversaries unite in an effort to fend off the challenge from China and Japan.

 

The ill-tempered contest between Alstom and Siemens has been a feature of the sector for decades and reached boiling point in 2011, when the pair engaged in a public spat over the safety of competing high-speed models they were pitching to Channel Tunnel express operator Eurostar International Ltd.

 

Now the French and German companies are set to join forces in a business with 15 billion euros ($18 billion) in combined sales as they seek to halt the advance of Asian giants including Beijing-based CRRC Corp. and Hitachi Ltd. of Japan. That seemed a very distant prospect at the height of the confrontation over the 600 million-euro Channel Tunnel tender.

France Leaves Door Open for Bombardier to Join Siemens Alstom
  • Any move to make rail giant more powerful is to be considered
  • Bombardier left on sidelines after talks with Siemens failed
 

France is open to the possibility of expanding the rail combination between Siemens AG and Alstom SA to include Bombardier Inc., the Canadian trainmaker left on the sidelines of talks to create an industry champion to take on China.

 

“If we can expand this global rail champion even more, to make it even more powerful faced with China and the U.S., then so much the better,” French Finance Minister Bruno Le Maire told reporters at a press conference in Paris Wednesday.

FRANKFURT — Once, the merger of two iconic European companies might well have been derailed by regional political rivalries. But in the case of a deal between Siemens and Alstom, those concerns have receded in the face of a larger threat: China.

 

The proposed merger of Europe’s two largest train makers, one German and one French, demonstrated on Wednesday that economic imperatives are pushing the Continent together even as populist politicians try to pull it apart.

The new company, to be called Siemens Alstom, is a response to intensifying competition from China Railway Rolling Stock Corporation, the state-backed train maker that has been winning contracts in the United States and emerging markets where mass transit is a fast-growing business.

 

The company’s success is emblematic of China’s increasing economic power, which, combined with a more isolationist American foreign policy, is forcing European leaders to violate old taboos in order to improve the functioning of the European Union and its economy.

Alstom, Siemens submit remedy package to European Commission

 

 

Alstom and Siemens have jointly agreed to submit a remedy package to the European Commission in response to its Statement of Objection of October.

 

The package represents their proposal to address the Commission’s concerns while preserving the industrial and economic value of the deal.

Siemens and Alstom move to allay EC concerns over merger

 

 

ALSTOM and Siemens submitted a remedy package to the European Commission (EC) on December 12 in response to the competition commissioner’s Statement of Objection on the proposed merger, which was issued to the two suppliers on October 29.

 

Alstom and Siemens say the package aims to address the EC’s concerns while preserving the industrial and economic value of the merger.

 

The proposed measures include activities in the rolling stock and signalling sectors and represent around 4% of the sales of the combined entity.
